Terms of Service

By accessing or using the Residence platform, you agree to be bound by these Terms of Service.Residence is a product of Everden Technologies Ltd, providing digital tools for residential estate management in Nigeria.

If you do not agree to these terms, you may not access or use our services. These terms apply to all users, including estate administrators, residents, security personnel, and visitors.

Residence provides a software-as-a-service (SaaS) platform for estate management, including:

• Automated dues collection and billing.
• Visitor and access management.
• Resident communication and announcements.
• Financial reporting and reconciliation.
• Security gate management applications.

We facilitate payments through licensed third-party processors like Paystack. We do not hold or store payment card details on our servers.

To use our services, estates must:

• Provide accurate and complete registration information.
• Designate authorized administrators with valid credentials.
• Maintain the security of account passwords and access tokens.
• Notify us immediately of any unauthorized access.

You are responsible for all activities that occur under your account.

Our pricing structure includes:

• Setup Fee: One-time fee covering data migration and onboarding (non-refundable once migration begins).
• Monthly Subscription: Based on the number of units in your estate.
• Transaction Fees: Standard Paystack fees (1.5%) apply to resident payments.

Subscriptions are billed monthly in advance. Late payment may result in temporary suspension of administrative access until the balance is cleared.

The estate management board is responsible for:

• Ensuring the accuracy of resident data uploaded to the platform.
• Lawful use of the visitor management system.
• Compliance with Nigerian data protection laws when handling resident information.
• Communicating platform changes to residents.
• Resolving internal disputes between residents regarding dues or access.

Residents using the platform agree to:

• Provide accurate personal and vehicle information.
• Pay dues as stipulated by their estate management.
• Use visitor access codes responsibly and not share them publicly.
• Report any security concerns or platform issues promptly.

You may not use our platform to:

• Violate any applicable laws or regulations.
• Impersonate another person or entity.
• Distribute malware or harmful code.
• Attempt to gain unauthorized access to our systems.
• Use visitor codes to grant access to unauthorized individuals.
• Harass, abuse, or harm other users.

The Residence platform, including its design, code, logos, and content, is the property ofEverden Technologies Ltd. You are granted a limited, non-exclusive license to use the platform for its intended purpose. You may not copy, modify, or distribute any part of the platform without written permission.

Residence facilitates estate management processes but does not replace physical security personnel or infrastructure. We are not liable for:

• Security breaches occurring at physical estate gates.
• Disputes between residents and estate management.
• Loss of data due to user error or unauthorized access.
• Service interruptions due to circumstances beyond our control.

Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

Either party may terminate the service with 30 days written notice. Upon termination:

• We will export your data in a standard format upon request.
• Outstanding fees remain payable.
• Access to the platform will be revoked.

We reserve the right to suspend or terminate accounts for violation of these terms without prior notice.

These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act.

We may update these Terms of Service from time to time. We will notify you of significant changes via email or through the platform. Continued use of our services after changes constitutes acceptance.
